1. Definitions
In these Terms and Conditions, the following terms have the meanings set out below:
- "We," "Us," "Our," or "Company" refers to Quantum Mind, a business registered in Malaysia
- "Client," "You," or "Your" refers to the individual or organization engaging our services
- "Services" refers to AI capability assessment, implementation services, strategy evolution advisory, and related professional services we provide
- "Agreement" refers to the contract formed between you and us when you engage our services, consisting of these Terms and any service-specific agreements
- "Website" refers to our online presence at quantois.live
- "Deliverables" refers to assessment reports, implementation work, documentation, and other outputs specified in service agreements
2. Acceptance of Terms
By accessing our website, submitting an inquiry, or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, along with our Privacy Policy and Cookie Policy.
If you are entering into this Agreement on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these terms.
You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our services.
3. Service Description
We provide professional AI integration services to organizations, including:
AI Capability Assessment:
Comprehensive evaluation of your organization's readiness for AI adoption, including infrastructure review, data assessment, team capability evaluation, and strategic recommendations.
AI Implementation Services:
Planning, development, integration, testing, deployment, and support for AI solutions tailored to your organizational needs and capabilities.
AI Strategy Evolution:
Ongoing strategic advisory support for developing and adapting your AI approach based on experience, changing conditions, and emerging opportunities.
Specific service scope, deliverables, timelines, and fees are defined in individual service agreements entered into for each engagement.
4. Service Engagement Process
Service engagements typically follow this process:
- Initial inquiry and preliminary discussion of your needs
- Proposal outlining recommended services, scope, timeline, and fees
- Service agreement documenting specific terms, deliverables, and responsibilities
- Service delivery according to agreed schedule and methodology
- Completion and handover of deliverables with appropriate documentation
- Post-service support period as specified in the service agreement
We reserve the right to decline service engagements that we determine are not suitable for our capabilities or approach.
5. Client Responsibilities
To enable effective service delivery, clients agree to:
- Provide accurate and complete information about organizational context, requirements, and constraints
- Make appropriate personnel available for interviews, collaboration, and knowledge transfer
- Provide timely access to necessary systems, data, and documentation as agreed
- Designate authorized representatives for decision-making and approvals
- Review and provide feedback on deliverables within agreed timeframes
- Make timely payments according to the agreed schedule
- Comply with applicable laws and regulations in your use of our services and deliverables
- Maintain confidentiality of proprietary methods or information we share
Failure to fulfill these responsibilities may impact our ability to deliver services effectively and could result in delays, additional costs, or modified deliverables.
6. Fees and Payment
Service fees are specified in individual service agreements. Unless otherwise agreed:
- All fees are quoted in Malaysian Ringgit (RM) and exclude applicable taxes
- Payment terms are typically 50% upon agreement execution and 50% upon completion
- Payments are due within 14 days of invoice date unless otherwise specified
- Late payments may incur interest charges at the rate permitted by Malaysian law
- We reserve the right to suspend services for accounts more than 30 days overdue
Fee increases, if any, will be communicated at least 30 days in advance and will not apply retroactively to services already under contract.
7. Intellectual Property
Our Intellectual Property:
We retain all rights to our methodologies, frameworks, tools, templates, and general knowledge developed independently of client engagements. This includes our assessment frameworks, implementation processes, and proprietary methods.
Client Intellectual Property:
You retain all rights to your pre-existing intellectual property, business information, and data provided to us during service delivery.
Deliverable Ownership:
Upon full payment, you receive ownership of client-specific deliverables created during the engagement, including assessment reports, implementation documentation, and custom code developed specifically for your organization. This does not include our underlying methodologies, frameworks, or reusable components.
License Grant:
Where deliverables incorporate our proprietary methods or tools, we grant you a non-exclusive, non-transferable license to use them for your internal business purposes.
8. Confidentiality
Both parties agree to maintain confidentiality of non-public information shared during the engagement. This includes:
- Business information, technical data, and strategic plans shared during service delivery
- Assessment findings, recommendations, and implementation details
- Financial information and commercial terms
- Any information marked or identified as confidential
Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law. We may use anonymized case studies or general learnings from engagements for professional development or marketing purposes, provided no confidential or identifying information is disclosed.
9. Warranties and Disclaimers
Our Warranties:
We warrant that services will be performed with reasonable skill and care consistent with professional standards in the AI integration industry.
Disclaimers:
Our services are advisory and implementation support in nature. We do not guarantee specific business outcomes, performance levels, or return on investment from AI implementations. Success depends on many factors including organizational commitment, data quality, user adoption, and external conditions beyond our control.
AI technologies involve inherent uncertainties and limitations. We make no warranties that AI systems will be error-free, completely accurate, or suitable for all possible applications.
Except as expressly stated in service agreements, services are provided on an "as is" basis without warranties of any kind, either express or implied.
10. Limitation of Liability
To the maximum extent permitted by Malaysian law:
- Our total liability for any claims arising from services provided will not exceed the fees paid for those specific services
- We will not be liable for indirect, incidental, consequential, or special damages including lost profits, business interruption, or data loss
- We will not be liable for damages resulting from your use or inability to use deliverables, third-party actions, or circumstances beyond our reasonable control
These limitations apply regardless of the legal theory on which a claim is based. Nothing in these Terms excludes liability that cannot be excluded under Malaysian law.
11. Termination
Termination by Either Party:
Either party may terminate a service agreement with 30 days written notice. Upon termination, you will pay for services completed to date according to the agreed fee structure.
Termination for Cause:
Either party may terminate immediately if the other party materially breaches these Terms and fails to remedy the breach within 14 days of written notice.
Effects of Termination:
Upon termination, we will provide work completed to date, you will pay for services rendered, and both parties will return or destroy confidential information as requested. Provisions regarding confidentiality, intellectual property, limitation of liability, and dispute resolution survive termination.
12. Dispute Resolution
In the event of any dispute arising from these Terms or our services:
- The parties will first attempt to resolve the matter through good faith negotiation
- If negotiation is unsuccessful within 30 days, the parties may pursue mediation before a mutually agreed mediator
- If mediation does not resolve the dispute, either party may pursue legal remedies
These Terms are governed by the laws of Malaysia. Any legal proceedings will be subject to the exclusive jurisdiction of the courts of Malaysia.
13. Force Majeure
Neither party will be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, acts of government, labor disputes, or other force majeure events. If such circumstances persist for more than 60 days, either party may terminate the affected service agreement.
14. General Provisions
Entire Agreement:
These Terms, together with any service-specific agreements and our Privacy Policy, constitute the entire agreement between the parties and supersede all prior understandings.
Amendments:
We may update these Terms periodically. Changes will be posted on our website with a new "Last Updated" date. Continued use of services after changes take effect constitutes acceptance of the modified Terms.
Severability:
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
No Waiver:
Failure to enforce any provision does not constitute a waiver of that provision or any other provision.
Assignment:
You may not assign these Terms or any service agreement without our prior written consent. We may assign our rights and obligations with notice to you.
